Practice Transitions and Start-Ups: Legal Issues
The major events in the professional life of a dental professional and group practice include the establishment or purchase of the practice, securing an associate, or becoming or adding a partner in a practice, and practice sales and retirements. Such events involve numerous important legal and financial considerations. This course provides an overview of the transaction and contracting process and essential substantive legal aspects of practice establishment, operations, purchase and sale and partnership transitions, as well as associate contracts and other employment issues, from business and dental law lawyers with over 30 years of experience representing dentists and dental practices.
- Identify what legal documents are necessary to start-up, buy or sell a practice, become or add a partner, or hire an associate
- Understand what the latest applicable law is on non-competes and other restrictive covenants
- Recognize the most important early steps to take to ensure that the transition and transaction will be successful and time efficient
- Compare legal issues arising between sales to other dentists versus DSOs
- Explain what an LOI and a purchase agreement are and if they are binding contracts
- Identify how buyers protect themselves from the liabilities of the seller
