William Mandell, Esq. is a founder and shareholder of Pierce & Mandell, P.C. located in Boston, Massachusetts, which is a boutique law firm that focuses on health, dental and business law as well as commercial litigation, intellectual property and employment law. Bill has over 30 years of experience representing dentists and dental practices. He and his legal team provide a full range of legal services for dental practices. Bill has presented educational programs at Yankee Dental over the least 10 years on various legal issues.
Julie Niejadlik, is an associate in the firm’s Health/Dental and Business Law Practice Area, where she represents dental practice and professionals with practice transition, employment and regulatory compliance matters. She assists clients with all phases of dental practice purchases and sales, and practice start-ups. Julie received her juris doctor degree from the Northeastern University School of Law with a concentration in Health Law and Policy. While at NUSL, she held clerkships at NYU Langone Health, Dana-Farber Cancer Institute and the Massachusetts Executive Office of Health and Human Services., Julie also graduated magna cum laude from Union College. Julie is admitted to the practice law in Massachusetts and is a member of the Women’s Bar Association of Massachusetts and the Massachusetts Bar Association. Outside of work, she enjoys cooking and being outdoors. This spring, Julie ran the 2023 RBC Brooklyn Half Marathon as part of NYRR Team for Kids and raised money for New York Road Runners youth and community programs.

Hannah Schindler Spinelli, Esq, JD is an associate with the law firm of Pierce & Mandell, P.C., in Boston, MA. Hannah’s practice concentrates primarily on representing dental and medical practices on business, transactional, and real estate matters. Hannah also focuses on commercial and residential real estate and corporate matters. She regularly represents buyers and sellers of dental practice on practice transitions, including buy-ins, partnership agreements and full practice sales. She is a graduate of Northeastern University, B.S., summa cum laude, 2008, and Suffolk University Law School, J.D., cum laude, Health & Biomedical Law Concentration with Distinction, 2011. During her time in law school, she served as a legal intern to the Honorable Joseph A. Trainor in the Massachusetts Appeals Court. Hannah also was appointed as Managing Editor of the Suffolk University Law School Journal of Health and Biomedical Law. Hannah is a member of the Massachusetts Bar Association and is admitted to practice law in Massachusetts.

In this course attendees will review of the transaction and contracting process and essential substantive legal aspects of practice establishment, operations, purchase and sale and partnership transitions, as well as associate contracts and other employment issues, from business and dental law lawyers with over 30 years of experience representing dentists and dental practices.

After this course attendees will be able to:
  • Identify what legal documents are necessary to start-up, buy or sell a practice, become or add a partner or hire an associate
  • Identify what legal documents are necessary to start-up, buy or sell a practice, become or add a partner or hire an associate
  •  Examine what are the most important early steps to take to ensure that the transition and transaction will be successful and cost/time efficient
  • Compare legal issues arising between sales to other dentists verses DSOs
  • Explain what is an “LOI” and a “Purchase Agreement” and are they binding contracts?
  • Understand how can buyers protect themselves from the liabilities of the seller
  • Determine how can buyers and sellers secure commitments for post-closing activities
  • Recognize when is the right time to retain legal counsel and financial and other advisors
